Explanatory Note

On March 12, 2010, Furmanite Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) that included a press release of the Company, dated March 10, 2010, filed under Item 9.01 and included as an Exhibit thereto. Due to a clerical error, the wrong version of that press release was filed as Exhibit 99.1 to the Original Form 8-K and did not reflect the final press release that was actually issued by the Company on March 10, 2010. The disclosure contained in 9.01 and the Exhibit to the Original Form 8-K are hereby replaced in their entirety by the disclosure contained in 9.01 and the Exhibit to this Form 8-K/A, which is the correct version of the press release that was issued by the Company on March 10, 2010.

For purposes of clarification, the disclosure made pursuant to Item 5.02 in the Original Form 8-K is not being amended hereby.
