On March 2, 2010, Eagle Bulk Shipping
Inc. (the "Company") issued a press release (the "Press Release") relating to
its financial results for the fourth quarter and fiscal year ended December 31,
2009.
In accordance with General Instruction
B.2 to the Form 8-K, the information under this Item 2.02 and the Press Release,
