On
February 23, 2010, the Compensation Committee of the Board of Directors of John
Bean Technologies Corporation approved an amendment to the John Bean
Technologies Corporation Incentive Compensation and Stock Plan to permit the
company to deduct certain compensation expenses associated with awards under the
plan. The amendment added a limitation on the total amount of
incentive cash compensation awards that may be granted annually under the plan
to $8,000,000 and a limitation on the total amount of incentive cash
compensation awards that may be granted annually to any eligible individual
under the plan to $3,200,000. The amendment is effective February 23,
2010.
The
executed amendment to the John Bean Technologies Corporation Incentive
Compensation and Stock Plan is attached hereto as Exhibit 10.6A and is
incorporated herein by reference.
