Item 8.01

Other Events

 

As previously disclosed, on March 10, 2009, the Company and certain of its direct and indirect subsidiaries (collectively with the Company, the “Debtors”) filed voluntary petitions for reorganization relief under the provisions of chapter 11 of title 11 of the United States Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Central District of California, Riverside Division.  The Debtors bankruptcy case is being jointly administered under Case Number 09-14254-MJ (the “Bankruptcy Case”).

 

On February 19, 2010, the Company filed its monthly operating report for the period beginning on December 21, 2009 through January 24, 2010 (the “January Monthly Operating Report”), with the United States Trustee for the Central District of California, Riverside Division (the “United States Trustee”) pursuant to Article III of The United States Trustee’s Notice of Requirement For Chapter 11 Debtors In Possession, as revised April 2008.  The January Monthly Operating Report is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
