Item 2.02 Results of Operations and Financial Condition.

On February 17, 2010, Career Education Corporation (the “Registrant”) issued a press release to report the Registrant’s financial results for the quarter and fiscal year ended December 31, 2009 and to announce that on February 16, 2010, the Registrant’s Board of Directors authorized an additional $250 million to repurchase outstanding shares of its common stock under the Registrant’s stock repurchase program. This is in addition to the $155.5 million still available under Registrant’s previously authorized stock repurchase program. Stock repurchases under this program may be made on the open market or in privately negotiated transactions from time to time, depending on factors including market conditions and corporate and regulatory requirements. The stock repurchase program does not have an expiration date and may be suspended or discontinued at any time.
