EXPLANATORY NOTE: On February 12, 2010, Nalco Holding Company filed a Current Report on Form 8-K that incorrectly listed the effective date for the salary adjustment of executive David E. Flitman. This amendment is filed solely for the purpose of correcting that date.

Effective February 1, 2010 Senior Executive Vice President and President, Water and Process Services David E. Flitman’s base salary was increased to $480,000.
