Item 7.01. Regulation FD Disclosure.

On February 11, 2010, members of the management team of Health Net, Inc. (the “Company”) will be giving a presentation and meeting with investors and analysts in connection with the Company’s annual investor conference. During this meeting, the Company intends to address its prospects and historical performance, and will reaffirm the Company’s earnings guidance for the full year 2010, as previously announced in a press release issued on February 3, 2010, and will provide additional guidance metrics for the full year 2010. The Company will have an audio webcast of its presentation at the meeting at 9:30 a.m. (Eastern Time) on February 11, 2010 from the “Investor Relations – Presentations and Webcasts” section of its website at www.healthnet.com. A replay of the Company’s presentation will be available on the Company’s website, and the Company’s slides for the presentation are attached to this Current Report on Form 8-K as Exhibit 99.1.
