At the
2010 Annual Meeting of Shareholders on January 27, 2010, the Company’s
shareholders approved amendments to the Company’s Executive Annual Bonus Plan
(the “Plan”) that (i) increased the per-employee limit on annual bonuses under
the Plan from $2,500,000 to $6,000,000 and (ii) expanded the list of objective
business measures that may be the basis for performance goals under the
Plan. Additional information regarding the Plan is contained in the
Company’s Proxy Statement dated December 15, 2009 for the 2010 Annual Meeting of
Shareholders. A copy of the Plan, as amended, is attached hereto as
Exhibit 10.1.
