Item 2.02. Results of Operations and Financial Condition
On January 25, 2010, Quest Diagnostics Incorporated (the “Company”) issued a press release announcing, among other things, its results for the quarter and year ended December 31, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

On January 25, 2010, the Company issued a press release announcing that the Company’s Board of Directors authorized the Company to repurchase $750 million of the Company’s common stock. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated by reference herein.
