Item 2.02. Results of Operations and Financial Condition.
     On January 14, 2010, Horizon Lines, Inc. (the “Company”) issued a press release announcing that it reduced its debt in the fourth fiscal quarter of 2009 and is expecting to report cash flow stronger than its projections. The Company will report fourth-quarter and full-year financial results on January 29, 2010 and will conduct a conference call to discuss the same, as well as the outlook for 2010. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
