Item 8.01 Other Events.

On January 8, 2010, Live Nation, Inc. (the "Company" or "Live Nation") issued a press release announcing that, at its Annual Meeting of Stockholders held on the same date, Live Nation’s stockholders voted to approve the issuance of Live Nation common stock in connection with the proposed merger of Ticketmaster Entertainment, Inc. ("Ticketmaster Entertainment") and a subsidiary of Live Nation (the "Merger"). A copy of that press release is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
