Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On January 5, 2010, Corel Corporation (the “Company”) received a notice from The Nasdaq Stock Market (“NASDAQ”) that the Company no longer maintains the minimum number of publicly held shares required by Listing Rule 5450(b)(1)(B) for continued listing.
As described in the Company’s Proxy Statement, dated December 29, 2009, the Company intends to terminate registration under the applicable U.S. securities laws and to delist the Company’s shares on both NASDAQ and the TSX promptly following the special meeting of shareholders to be held on January 26, 2010.
