(b) On December 18, 2009, Ammar Al-Ali notified the Company that he is resigning his position as Chief Technical Officer of Masimo Corporation in order to become a full-time Engineer Fellow, Chief Engineer, of the Company. The transition is expected to occur on or about December 31, 2009 and is intended to allow Mr. Al-Ali to focus his efforts exclusively on developing new technologies and products for Masimo.

On December 18, 2009, the Company issued a press release announcing Mr. Al-Ali’s transition, which is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
