DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On December 15, 2009, Salem Communications Corporation (the “Company”) announced that, effective January 1, 2010, as part of a senior management restructure, Joe D. Davis will be transitioning from his position as President, Radio Division and accepting a position with the Company as its Senior Advisor to the CEO, Special Projects and Strategic Development.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

OTHER EVENTS.

On December 15, 2009, the Company also announced that, effective January 1, 2010, as part of a senior management restructure, David Santrella will be promoted to President, Radio Division and Allen Power will be promoted to Senior Vice President.
