Section 8 — Other Events

     Item 8.01 Other Events.

     On December 10, 2009, Waste Services, Inc., a Delaware corporation (“Waste Services”), and IESI-BFC Ltd., an Ontario corporation (“IESI-BFC”), issued a joint press release announcing that each company has completed its respective due diligence review to its satisfaction and that the Board of Directors of each company has received a fairness opinion from their respective financial advisors with respect to their proposed combination announced on November 11, 2009. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
