Item 8.01 Other Events.
On
December 4, 2009, Black Box Corporation
(the “Company”) issued a press release announcing that it has entered into a settlement
with the Securities and Exchange Commission (the “SEC”) regarding the
previously-disclosed SEC investigation into the Company’s historical stock option practices. A copy of the press release is filed as Exhibit 99.1 to this report and is
incorporated herein by reference.
