Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2009, Starwood Hotels & Resorts Worldwide, Inc. (the "Company") entered into new indemnity agreements with its directors and executive officers, including the Chief Executive Officer. The indemnity agreements replace existing agreements and provide that directors and executive officers will be indemnified to the fullest extent permitted by law against expenses and settlement amounts paid or incurred by them from litigation or other proceedings resulting from service as a director or executive officer of the Company The foregoing is qualified in its entirety by reference the form of Indemnity Agreement attached hereto as Exhibit 10.1, which is incorporated herein by reference.
