Item 2.02. Results of Operations and Financial Condition.
On
October 29, 2009, MetLife, Inc., a Delaware corporation,
issued (i) a press release announcing its results for the
quarter ended September 30, 2009, a copy of which is attached hereto as Exhibit 99.1 and is
incorporated herein by reference, and (ii) a Quarterly Financial
Supplement for the quarter ended September 30, 2009, a copy of which is attached hereto as
Exhibit 99.2 and is incorporated herein by reference. The press release and the Quarterly Financial Supplement are furnished and not filed pursuant to
instruction B.2 of Form 8-K.
Item 8.01. Other Events.
The press release attached hereto as Exhibit 99.1
also announced that MetLife, Inc.'s Board of Directors had declared an annual dividend for 2009 of
$0.74 per common share. The dividend will be payable on
December 14, 2009 to shareholders of record as of
November 9, 2009.
