ITEM 8.01 OTHER EVENTS
On October 26, 2009, Terra Capital, Inc., a wholly-owned subsidiary of Terra Industries Inc.,
issued a press release announcing the closing of its private offering of $600 million aggregate
principal amount of Senior Notes due 2019.
A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and
is incorporated herein by reference.
