4.01 Changes In Registrant's Certifying Accountant.
On
October 16, 2009, SpongeTech Delivery Systems, Inc. (“SpongeTech”) filed a
Current Report on Form 8-K (the “Initial 8-K”) reporting, among other things,
the resignation on October 13, 2009 of Deloitte & Touche LLP (“D&T”) as
SpongeTech’s independent registered public accounting firm for the fiscal year
ending May 31, 2010. In accordance with the requirements of Item
304(a)(3) of Regulation S-K, SpongeTech had provided D&T with a copy of the
Initial 8-K and requested from D&T a letter addressed to the U.S. Securities
and Exchange Commission stating whether it agreed with SpongeTech’s statements
in the Initial 8-K and, if not, stating the respects in which it did not
agree. D&T’s letter, dated October 20, 2009, states that D&T
agrees with the statements made by the Company in Item 4.01 of the Initial
8-K. This Current Report on Form 8-K/A amends the Initial 8-K to file
D&T’s letter in accordance with the requirement of Item 304(a)(3) of
Regulation S-K.
