Item 8.01. Other Events.

     On October 20, 2009, Education Management LLC (the “Company”), a wholly owned subsidiary of Education Management Corporation, announced the final results of its previously announced cash tender offer for its 10¹/4% Senior Subordinated Notes due 2016 and 8³/4% Senior Notes due 2014 (the “Tender Offer”).

     A copy of the Company’s press release announcing the final results of the Tender Offer is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
